1. Agreement to Terms

By accessing or using the services provided by Jinan Yaorui Mechanical Technology Co., Ltd. (hereinafter referred to as the Company, we, us, or our), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

We provide professional technology services including but not limited to:

• Computer Systems Design and Related Services
• Computer Integrated Systems Design
• Professional, Scientific, and Technical Services
• Management, Scientific, and Technical Consulting Services
• Scientific Research and Development Services

3. User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Comply with all applicable laws and regulations

4. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of the Company or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. Service Agreements

Specific projects and services may be subject to additional terms and conditions as outlined in separate service agreements. In the event of any conflict between these Terms of Service and a specific service agreement, the service agreement shall prevail.

6. Payment Terms

Payment terms for our services will be specified in individual service agreements or quotations. Unless otherwise agreed:

• All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
• Payment is due within 30 days of invoice date
• Late payments may incur additional charges

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation shall survive the termination of any service agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission to or from our services

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Service or your use of our services.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will immediately cease.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from these terms shall be submitted to the jurisdiction of the courts in Jinan, Shandong Province, China.

12. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
